The Companies Ordinance (Cap 622) ("NCO") came into effect on 3 March, 2014. It has brought with it a number of important changes in relation to execution of company documents and company seals. It allows an alternative mode of execution of company documents and in this connection, Company Secretary is now a signatory. Company Secretary is also an authorised person under the new model articles. The Company Secretary’s role has therefore been further expanded, with ever demanding responsibilities.
Notarial instruments which certify due execution of documents now have evidentiary status in civil proceedings by virtue of the Statute Law (Miscellaneous Provisions) Ordinance 2014, which also came into effect in 2014.
Because of globalization of businesses, the number of company documents executed in Hong Kong and used overseas is ever increasing every year. These documents are often of high value and are required urgently.
Now or very soon, Members will encounter execution of company documents in their career. So, it is highly important for them to be well equipped with the knowledge of this subject and be familiar with the practical requirements, for good corporate practice and governance and for advancement in their career.
