The SFC has prioritized enforcement action against listed companies and their directors for malfeasance, seeking to combat corporate fraud, misleading financial statements, serious conflicts of interest and failures to disclose inside information. Much of the SFC action focuses on directors and other officers of listed companies. Some of the cases involve directors improperly deferring to controlling shareholders. Others involve non-executive directors failing to serve as a proper check and balance on executive directors. Still others involve directors who, collectively, do not have adequate controls to escalate and disclose inside information on a timely basis.
The SFC's actions have resulted in fines against directors, the disqualification of directors and civil proceedings being instituted against directors.
